My Top Eleven Story Contest
NO PURCHASE NECESSARY TO ENTER OR WIN.
ELIGIBILITY: OPEN ONLY TO LEGAL RESIDENTS OF ANY OF THE TERRITORIES IN WHICH TOP ELEVEN: BE A FOOTBALL MANAGER (“THE GAME”) IS MADE AVAILABLE, WHO HAVE A VALID ACCOUNT FOR THE GAME, AND ARE 18 YEARS OF AGE OR OLDER. VOID WHERE PROHIBITED. Employees (and their immediate families (spouse, and parents, children and siblings and their respective spouses, regardless of where they reside) and living in their same households, whether or not related) of Nordeus Ltd. (“Sponsor”), Zynga Inc., Take-Two Interactive Software, Inc., and their respective parents, affiliates, subsidiaries and advertising and promotion agencies are not eligible to enter or win. By participating, entrants agree to be bound by these Official Rules and the decisions of the Sponsor, which are binding and final on matters relating to this Contest. Contest is subject to all applicable federal, state, provincial, national and local laws.
CONTEST PERIOD: The My Top Eleven Story Contest (“Contest“) starts on May 6, 2024, at 12:00 PM Central European Summer Time (“CEST”) / 11:00 AM British Summer Time (“BST”) / 6:00 AM Eastern Daylight Time (“EDT”), and ends at 12:00 PM CEST / 11:00 AM BST / 6:00 AM EDT on May 13, 2024. Sponsor’s computer is the official time-keeping device for the Contest.
HOW TO ENTER: Eligible players can enter the Contest during the Contest Period by visiting the Game’s account on Instagram (@TopEleven), commenting on the “My Top Eleven Story Contest” post with their favourite story or moment in their Top Eleven career, tagging the @TopEleven Instagram profile, and using the special birthday hashtag #mytopelevenstory. The story can be shared in feed, reel or story format, with either an accompanying image provided by Sponsor in the Contest announcement post or an image/video of Top Eleven gameplay that illustrates the story. Your Instagram account must be set to “public” in order for your entry to be eligible. You can return the account to “private” any time after the winner has been announced. All entry information and other content submitted by an entrant as part of this Contest shall be collectively referred to herein as the “Submissions” or each as a “Submission.” All Submissions must comply with the Guidelines and Restrictions (as defined below), as determined by Sponsor in its sole and absolute discretion. Sponsor reserves the right to cancel or modify this Contest in the event an insufficient number of Submissions are received that meet the minimum judging criteria.
Limit one (1) Submission per person for the entire Contest Period. All Submissions must be received by May 13, 2024, at 12:00PM CEST / 11:00AM BST / 6:00AM EDT. Submissions generated by script, macro or other automated means or by any means which subvert the entry process are void. All Submissions become the property of Sponsor. Limit one (1) Submission per person. Multiple Submission from any person will be void.
You must have an Instagram account to enter. If you do not have an Instagram account, you can create one by visiting www.instagram.com. Instagram accounts are free. If you choose to enter via Instagram using your mobile device standard data fees may apply. You should consult your wireless service provider’s pricing plan for details. You agree to be solely responsible for any and all charges you incur in entering, or participating in, the Contest (including, without limitation, any and all charges demanded by your wireless carrier). You should also check your device’s features for capabilities and check the device manual for specific use instructions.
SUBMISSION GUIDELINES AND CONTENT RESTRICTIONS: By entering the Contest, each entrant agrees that their Submission conforms to the Submission Guidelines and Content Restrictions as defined below (collectively, the “Guidelines and Restrictions”) and that Sponsor, in its sole discretion, may remove any Submission and disqualify an entrant from the Contest if it believes, in its sole discretion, that the entrant’s Submission fails to conform to the Guidelines and Restrictions.
Submission Guidelines:
- The Submission must not contain footage, images or artwork not created by entrant or owned by Sponsor;
- The Submission must not contain brand names or trademarks of any entity other than the Sponsor IP, which entrant has a limited license to use for the sole purpose of creating a Submission in this Contest;
- The Submission cannot have been submitted previously in a promotion of any kind, won any award or been exhibited or displayed publicly through any means.
Content Restrictions:
Submissions may not contain, as determined by the Sponsor, in its sole discretion, any content that:
- is sexually explicit or suggestive; unnecessarily violent or derogatory of any ethnic, racial, gender, religious, professional or age group; profane or pornographic; contains nudity;
- promotes alcohol, illegal drugs, tobacco, firearms/weapons (or the use of any of the foregoing); promotes any activities that may appear unsafe or dangerous; promotes any particular political agenda or message;
- is obscene or offensive; endorses any form of hate or hate group;
- appears to duplicate any other submitted Submissions;
- defames, misrepresents or contains disparaging remarks about other people or companies;
- contains material that violates or infringes another’s rights, including but not limited to copyright, trademark, privacy, publicity, or any other intellectual property rights.
- contains material that is unlawful, in violation of or contrary to the laws or regulations in any jurisdiction where Submission is created.
Entrants acknowledge that other entrants may have used ideas and/or concepts in their Submission that may have similarities to ideas or concepts included in entrant’s Submission, and entrants understand and agree that they shall not in any way be entitled to any compensation because of any such similarities. Sponsor’s decisions are final and binding in all matters relating to this Contest, including interpretation and application of these Official Rules.
PUBLICITY GRANT AND LICENSE/USE OF SUBMISSIONS: By submitting a Submission, each entrant hereby: (i) irrevocably and unconditionally waives, and agrees to never assert, any and all moral rights such entrant may have in and to the Submission; and (ii) grants to Sponsor and its licensees, successors and assigns an irrevocable, perpetual, unlimited, royalty-free, fully paid-up license to reproduce, distribute, display, exhibit, exploit, perform, edit, create derivatives of, and otherwise use the Submission and all elements of such Submission, together with any other material, and the name, user name, city and state of residence, voice, image and/or likeness of entrant (including, but not limited to, profile photo), in any and all media now known or hereafter devised, in any manner, in whole or in part, worldwide, without compensation or notification to, or permission from, entrant or any third party, for any purpose whatsoever, including without limitation, for purposes of advertising or trade. Entrant agrees that, if required by Sponsor, they will sign documents to this effect. Released Parties (as defined below) are not responsible for any unauthorized use of Submissions by third parties. Sponsor has no obligation to make use of the rights granted herein.
INDEPENDENTLY DEVELOPED SUBMISSIONS: Each entrant understands and agrees that Sponsor’s use in matters independently developed of material similar to or identical with the Submission or containing features or elements similar to or identical with those contained in the Submission will not obligate Sponsor to negotiate with entrant, nor will it entitle entrant to any compensation of any kind. Each entrant agrees and acknowledges that nothing herein shall preclude Sponsor from using any material in or similar to the Submission without obligation to entrant, including, but not limited to, if Sponsor has or has determined that it has an independent legal right to use such other material, including without limitation, because such features or elements were not new or novel, or were not originated by entrant, or were or may hereafter be independently created by or submitted to Sponsor.
WINNER DETERMINATION: No later than May 15, 2024, Sponsor shall review all eligible Submissions. Sponsor will select one (1) winner (“Winner”) based on the following, equally weighted judging criteria: (i) creativity of the Submission; (ii) originality of the Submission; (iii) relevance to Top Eleven: Be a Football Manager; and (iv) storytelling ability. Subject to verification and compliance with these Terms, the highest scoring Submission shall be designated as the Winner. In the event of a tie, all tied entries will be re-judged by an additional judge selected by Sponsor, who will break the tie using the judging criteria. Sponsor may also select one or more entrants for honourable mention (“Honorable Mention(s)”), which are not the Winner, but which Sponsor may recognize publicly for their high score on the judging criteria set forth above or for other reasons. Sponsor’s and judges’ decisions are final and binding in all matters relating to this Contest, including, but not limited to, the interpretation and application of these Terms. By entering the Contest, participants fully and unconditionally agree to be bound by these Terms and the decisions of the Sponsor and the judges, which will be final and binding in all
WINNER NOTIFICATION: The Winner will be notified via Instagram direct message on or about May 15, 2024, and may be required to execute and return a Declaration of Eligibility, Liability and, unless prohibited, Publicity Release. In the event: (i) the Winner cannot be contacted within three (3) calendar days of first notification attempt; (ii) any Prize or Prize notification is returned as undeliverable; (iii) the Winner rejects their Prize; or (iv) in the event of noncompliance with these Official Rules and the Guidelines and Restrictions, such Prize will be forfeited and may be awarded to the Submission with the next highest score. Upon Prize forfeiture, no Prize will be given. Prize will be electronically delivered to the Winner (as defined below) at the email address provided at time of winner confirmation.
PRIZE: One (1) Winner will receive 100 Tokens and a Premium Special Sponsor battle pass for the Top Eleven season starting May 19, 2024 (“Prize”). For the avoidance of doubt, the Prize is an in-game virtual good which: (i) has no monetary value; (ii) must not be used outside of Top Eleven: Be a Football Manager; and (iii) must only be used in accordance with Sponsor’s Terms of Service, located at https://www.take2games.com/legal/.
Prizes are awarded “as-is” with no warranty or guarantee, either express or implied. All federal, state, and local taxes, if any, and all other costs and expenses associated with acceptance of the Prize and use not specified herein as being provided are the sole responsibility of the Winner. The Winner may not substitute, assign or transfer Prize, but Sponsor reserves the right, at its sole discretion, to substitute the prize or any part of the Prize of comparable or greater value. The Prizes is not redeemable for cash. All prize details are at Sponsor’s sole discretion. Limit one (1) prize per person and per household.
ALL ENTRANTS ACKNOWLEDGE AND AGREE THAT SPONSOR SHALL HAVE NO OBLIGATION TO POST, DISPLAY, OR OTHERWISE USE ANY SUBMISSIONS, INCLUDING WITHOUT LIMITATION THE WINNING SUBMISSION(S). FOR SAKE OF CLARITY, ENTRANTS UNDERSTAND AND AGREE THAT EVEN IF ENTRANT IS A WINNING SUBMISSION SPONSOR IS UNDER NO OBLIGATION TO USE THE WINNING SUBMISSION FOR ANY PURPOSE WHATSOEVER. HOWEVER, SPONSOR WILL HAVE THE RIGHT, BUT NOT THE OBLIGATION, AS DETERMINED BY IT IN ITS SOLE AND ABSOLUTE DISCRETION, TO USE THE WINNING SUBMISSION. IF ANY SUBMISSION IS USED BY SPONSOR, INCLUDING THE WINNING SUBMISSIONS, ENTRANTS WILL NOT RECEIVE ANY COMMISSION ON ANY PRODUCTS OR MERCHANDISE WITH SUCH ENTRANT’S SUBMISSION (IF APPLICABLE).
GENERAL CONDITIONS: To the extent permitted by law, entrants, by participating, agree that Sponsor, Take-Two Interactive Software, Inc., and their respective parents, affiliates, subsidiaries and advertising and promotion agencies and all of their respective officers, directors, employees, representatives and agents (collectively, “Released Parties”) will have no liability whatsoever for, and shall be held harmless by entrants against, any liability, for any injuries, losses or damages of any kind, including personal injury and/or death (other than in respect of any personal injury and/or death that is caused by Sponsor’s negligence), fraud, or any other liability that cannot be limited or excluded by applicable law, to persons, or property resulting in whole or in part, directly or indirectly, from acceptance, possession, misuse or use of a Prize or participation in this Contest. To the maximum extent permitted by law, in no event will the Released Parties be responsible for lost, late, incomplete, inaccurate, stolen, delayed, misdirected, undelivered or garbled entries, email, comments, @replies, messages, mail, or other communications of any kind; or for lost, interrupted or unavailable network, server, Internet Service Provider (ISP), website, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties, or other errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the Contest, including, without limitation, errors or difficulties which may occur in connection with the administration of the Contest, the processing of entries, the announcement of the prizes or in any Contest-related materials. Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Contest. Released Parties are not responsible for injury or damage to participants’ or to any other person’s computer or other device related to or resulting from participating in this Contest or downloading materials from or use of the platform. Some jurisdictions may not allow limitations or exclusions of liability for certain categories of loss or damage, so some of the above limitations or exclusions may not apply to all entrants or shall only apply to the maximum extent permitted by applicable law. In the event that any of the above limitations or exclusions of liability are not enforceable under applicable law, the affected limitation or exclusion of liability shall be deemed omitted from these Official Rules and shall in no way affect the legality, validity or enforceability of the remainder of these Official Rules.
Persons who tamper with or abuse any aspect of the Contest or platform or who are in violation of these Official Rules, as solely determined by Sponsor, will be disqualified and all associated entries will be void. Should any portion of the Contest be, in Sponsor’s sole opinion, compromised by virus, worms, bugs, non-authorized human intervention or other causes which, in the sole opinion of the Sponsor, corrupt or impair the administration, security, fairness or proper play, or submission of entries, Sponsor reserves the right at its sole discretion to suspend, modify or terminate the Contest and, if terminated, at its discretion, select the potential winners from all eligible, non-suspect entries received prior to action taken or as otherwise deemed fair and appropriate by Sponsor.
The above provisions apply to the fullest extent permissible by law, save that, to the extent an Eligible Country’s law applies, nothing in these Official Rules shall exclude or limit the Sponsor’s or Released Parties’ liability for: (i) fraud or fraudulent misrepresentation; (ii) death or personal injury caused by such party’s negligence; or (iii) any other type of liability which may not be lawfully excluded or limited.
DISPUTES; GOVERNING LAW: THESE OFFICIAL RULES AND THE INTERPRETATION OF ITS TERMS SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE LAWS OF THE STATE OF NEW YORK WITHOUT REGARD TO ITS CONFLICTS OF LAWS RULES. Entrants resident in the United States of America hereby waive all rights to trial in any action or proceeding instituted in connection with these Official Rules, including, without limitation, the Contest. Any controversy or claim arising out of or relating to these Official Rules and/or the Contest shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association and hereby agree that any such controversy or claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration shall be conducted in the State of New York, City of New York.
For entrants who are not resident in the United States of America and/or for any matters which are not subject to arbitration as set forth in these Official Rules and/or in connection with the entering of any judgment on an arbitration award in connection with these Official Rules and/or the Contest, the parties irrevocably submit and consent to the exclusive jurisdiction and venue of the state and federal courts located in or closest to the County of New York in the State of New York. The parties agree not to raise the defense of forum non conveniens.
USE OF DATA: Any personal data submitted to, or collected by, Sponsor in connection with the Contest, will be processed by Sponsor and/or its data processors in accordance with its privacy policy for the sole purposes of conducting, administering and marketing the Challenge. Please review the Sponsor’s privacy policy located at www.take2games.com/privacy. Any personal data submitted to, or collected by, Sponsor or its data processors in connection with the Contest will be processed by Sponsor and/or its data processors in accordance with Sponsor’s privacy policy for the purposes of conducting, administering, and marketing the Contest. By participating in the Contest, entrants hereby acknowledge that: (i) they have read and understood Sponsor’s privacy policy; (ii) Sponsor has a valid legitimate interest in processing their personal data for these purposes; and (iii) Sponsor’s legitimate interests are not outweighed by their own interests or fundamental rights and freedoms.
WINNER LIST: A list of the Winner (and Honourable Mentions, if any) may be published on the Top Eleven Instagram account, in the form of surname and country, Instagram username, or such other reasonable form selected by Sponsor. Any United Kingdom entrant may request that the amount of information about them published in the way described above be reduced, by contacting the Sponsor via the Top Eleven Instagram account (available at: https://www.instagram.com/topeleven). In these circumstances, the entrant acknowledges that the Sponsor may nevertheless disclose the relevant information, and the entrant’s Entry, to the United Kingdom’s Advertising Standards Authority (and/or any other competent authority) if required to do so. By way of example, this may happen if the Sponsor is required to demonstrate that it has awarded any advertised prizes.
